These Terms & Conditions (“Terms”) are an agreement between you and MGbit (“MGbit,” “we,” “us”). They govern your use of the MGbit website at mgbit.io and the MGbit mobile app (together, the “Services”). By creating an account or using the Services, you agree to these Terms, our Privacy Policy and our Refund & Cancellation Policy. If you do not agree, do not use the Services.
1. What MGbit is
MGbit is an online marketplace. Property owners (“Owners”) post renovation projects. Independent contractors (“Contractors”) submit quotes, communicate with Owners, and are paid through the platform in milestones.
MGbit is not a contractor, does not perform renovation work, and is not a party to the agreement between an Owner and a Contractor. Contractors are independent businesses, not MGbit employees or agents. Each Contractor alone is responsible for the work it performs, including its quality, safety, timeliness, permits and compliance with law. MGbit facilitates payments between Owners and Contractors as described in Section 5.
2. Eligibility and accounts
- You must be at least 18 years old and able to form a binding contract to use the Services.
- You must give accurate, current information and keep it up to date. You may hold only one account per role unless we approve otherwise.
- You are responsible for keeping your password confidential and for all activity under your account. Tell us right away if you suspect unauthorized use.
- You may delete your account at any time as described in our Privacy Policy. Obligations related to projects already in progress, such as payments, milestones and disputes, survive deletion.
3. Property owners
- You must describe your project accurately, including its scope, budget, timeline and location. You must have the right to authorize work at the property.
- Accepting a quote creates an agreement between you and that Contractor for the scope, price and milestones shown on MGbit.
- You agree to review each submitted milestone promptly. You then approve it, or request a revision and explain what was not completed as agreed.
- You are responsible for giving the Contractor reasonable access to the property and for any decisions you make about the work.
4. Contractors
- You represent that you hold, and will keep, every license, registration, bond and insurance policy required by law for the work you quote. This includes a valid state contractor license where required. You also represent that the information and documents you submit for verification are genuine and accurate.
- MGbit may review your license information, but verification is limited and is not a guarantee of your qualifications, workmanship or legal compliance.
- Your quotes must be complete, honest and made in good faith. Once an Owner accepts your quote, you must perform the work professionally, safely, on schedule, and in line with applicable building codes, permit requirements and laws.
- You are responsible for your own employees, subcontractors, materials, taxes, and any permits for your work.
- You must give accurate payout and tax information so MGbit can pay you and meet its tax-reporting obligations.
5. Payments, milestones and fees
- Free to use: creating an account, posting projects, receiving quotes and submitting bids are free.
- Milestone payments: an accepted project is split into payment milestones. The Owner pays each milestone by card through our payment processor, Stripe. The first milestone is paid to start the project.
- Funds held until approval: MGbit holds milestone funds and releases them to the Contractor after the Owner approves the milestone. If the Owner neither approves nor requests a revision by the review deadline shown in the Services, the milestone may be approved automatically. MGbit is not a bank or escrow agent, and funds held pending approval do not earn interest.
- Platform fee: MGbit charges Contractors a platform commission, currently 10% of the project total. It is deducted from the Contractor’s payouts. Owners pay the quoted price and are not charged an additional platform fee. We may change our fees for future projects with notice.
- Payouts: Contractor payouts are sent by bank transfer to the account you provide, after milestone approval. They may be delayed by a dispute, chargeback, suspected fraud, missing payout information, or legal requirements.
- Payment authorization: by paying, you authorize the charge to your payment method. Your use of Stripe is also subject to Stripe’s terms.
- Refunds and cancellations are governed by our Refund & Cancellation Policy.
- All amounts are in U.S. dollars. Each user is responsible for their own taxes.
6. Keeping transactions on MGbit
The platform’s payment protection only works when payments go through MGbit. For projects you find or start through MGbit, you agree not to ask for, make, or accept payment outside MGbit. You also agree not to share contact details for that purpose. Messages may be automatically screened for phone numbers, emails and links shared for this purpose. Getting around the platform may lead to suspension or termination. MGbit is not responsible for any payment made outside the Services.
7. Messages and content
- You keep ownership of the content you submit, including project descriptions, photos, quotes, messages and reviews (“User Content”). You grant MGbit a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display and process your User Content in order to operate, improve and promote the Services. For example, we display project photos to Contractors and send photos for AI analysis at your request. This license ends when your content is deleted, except for copies we need to keep under our Privacy Policy.
- You are responsible for your User Content. You confirm you have the rights to it and that it is accurate, lawful and does not infringe anyone’s rights.
- We may, but are not required to, review, remove or restrict User Content that violates these Terms.
- Reviews must reflect genuine experiences. Fake, paid-for or retaliatory reviews are prohibited.
8. AI features
- MGbit offers optional AI features powered by Anthropic’s Claude models. These include an AI assistant and room-scan and photo analysis that estimates dimensions, materials, condition and cost.
- AI output may be inaccurate or incomplete. It is for general information only. It is not a professional inspection, engineering or safety assessment, appraisal, or binding quote. Always confirm measurements, hazards (such as suspected asbestos, mold or structural issues) and prices with a qualified professional.
- The AI assistant can take actions on your account, such as creating or editing a project, only after you confirm them. You are responsible for reviewing and confirming those actions.
- You must not use AI features to create unlawful, misleading or harmful content, or to try to access other users’ data.
- How we handle data sent to AI features is described in our Privacy Policy.
9. Acceptable use
You agree not to:
- give false information, impersonate anyone, or misrepresent your licenses, insurance or qualifications;
- post fraudulent, misleading, spam, discriminatory, harassing, threatening, obscene or illegal content;
- use the Services to discriminate against anyone on the basis of a protected characteristic;
- collect other users’ personal information, or use it for any purpose other than a project on MGbit;
- scrape, reverse engineer or disrupt the Services, get around security or access controls, or use the Services in any automated way we have not authorized;
- upload malware, or infringe anyone’s intellectual property or privacy rights;
- break any applicable law, including licensing, consumer protection and anti-money-laundering laws.
10. Disputes between users
If an Owner and a Contractor disagree about a milestone, either of them can contact MGbit before the milestone is approved. We may review messages, photos and proof of work on the platform, and then release, refund or split the held milestone funds in good faith. Our decision on held funds is final as to MGbit’s handling of those funds. It does not limit any legal rights you have against the other user. Apart from held funds, disputes about the work are between the Owner and the Contractor. To the extent permitted by law, you release MGbit from claims arising from disputes between users.
11. Intellectual property
The Services, including the MGbit name, logo, software, design and content (other than User Content), are owned by MGbit or its licensors and are protected by law. We grant you a limited, revocable, non-transferable license to use the Services for their intended purpose under these Terms. If you believe content on MGbit infringes your copyright, email mgbit@mgbit.io with the details required by the DMCA.
12. Suspension and termination
We may suspend or terminate your access, remove content, or hold payouts if we reasonably believe you have violated these Terms, created risk or legal exposure for MGbit or other users, or engaged in fraud. Where appropriate, we will notify you and give you a chance to respond. You may stop using the Services and delete your account at any time. Sections that by their nature should survive termination will survive. These include payments owed, disclaimers, limitation of liability, indemnification and governing law.
13. Disclaimers
The Services are provided “as is” and “as available.” To the fullest extent permitted by law, MGbit disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement. MGbit does not guarantee the quality, safety, legality or timeliness of any Contractor’s work; the accuracy of any listing, quote, review or AI output; or that the Services will be uninterrupted or error-free. Match scores and rankings are informational only and are not endorsements.
14. Limitation of liability
To the fullest extent permitted by law, MGbit and its officers, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill. This also covers property damage or personal injury caused by work performed by a Contractor. MGbit’s total liability for any claim relating to the Services will not exceed the greater of (a) the fees MGbit received from you in the 12 months before the claim or (b) US $100. Some jurisdictions do not allow certain limitations. In those jurisdictions, these limits apply only to the extent permitted by law.
15. Indemnification
You agree to defend, indemnify and hold harmless MGbit from any claims, losses, liabilities and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your User Content, your violation of these Terms or of law, or (for Contractors) the work you perform.
16. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Before filing any claim against MGbit, you agree to contact us and try to resolve the dispute informally for at least 30 days. Any dispute that is not resolved will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to their jurisdiction. Either party may bring an eligible claim in small claims court.
17. App store terms
If you downloaded the MGbit app from the Apple App Store, you acknowledge that these Terms are between you and MGbit only, not Apple. MGbit, not Apple, is responsible for the app and its content, maintenance, support, warranties and any claims relating to it. Apple has no obligation to provide maintenance or support. If the app fails to conform to an applicable warranty, you may notify Apple, and Apple may refund the app’s purchase price, if any. To the maximum extent permitted by law, Apple has no other warranty obligation. Apple is not responsible for addressing product liability, legal compliance or intellectual property claims relating to the app. You represent that you are not located in a country subject to a U.S. government embargo and are not on any U.S. government list of prohibited or restricted parties. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. The same applies to Google Play where its terms require it.
18. General
- Changes: we may update these Terms. If a change is material, we will notify you by email or in the Services before it takes effect. If you keep using the Services after that, you accept the updated Terms.
- Entire agreement: these Terms, the Privacy Policy and the Refund & Cancellation Policy are the entire agreement between you and MGbit about the Services.
- Severability and waiver: if any provision is unenforceable, the rest remain in effect. If we don’t enforce a provision, that is not a waiver of it.
- Assignment: you may not transfer these Terms. We may transfer them in connection with a merger, acquisition or sale of assets.
